*    Serving as turnaround consultant and part-time CFO for automation machine building company; obtained two separate recapitalizations as it came out of turnaround; developed balance sheet restructuring, spin-off of subsidiary, and transfer of ownership; developed Return-on-Investment analytical tool to assist sales staff in marketing high-end capital machines; co-managed conversion and implementation of enterprise resource management software; managed D&B monitoring; assisted in developing capital budgeting process.

*    Providing private placement services, raising preferred equity through institutional investors; in each instance, conducted extensive due-diligence and prepared extensive disclosure packages, contacted wide network (national and international) of institutional/professional investors, coordinated investors' due-diligence, leading negotiations of term sheets; worked with firms in:

            - medical devices

            - network data storage systems

            - retail media technology





*    Providing M&A consulting services for medical device firm seeking sale; initially assisted in turnaround of company's financial performance, in preparation for sale, by rebuilding their sales force; developed detailed due-diligence package; presently contacting potential buyers, assisting in their due-diligence and negotiating term sheets.


*    Serving as interim CFO for start-up gas-technology firm; developing financial management systems; negotiating with banks for line-of-credit; developing Business Plan and detailed cashflow proformas in conjunction with angel-capital campaign.

*    Assisted internet-technology firm in preparing for capital raise by conducting due-diligence and developing disclosure materials; assisted in raising $5.1 M of preferred equity from institutional investors; maintaining on-going relationship for next capital round.

*    Provided financial consulting services, and US representation, for Australian technology firm seeking a presence in the U.S., including assisting in a capital raise, and general business planning.

*    Served as financial adviser to Swiss-based software firm, developing marketing presence in the U.S., including financial analysis and general business planning.

*    Structured and underwrote $8 M project financing for a new plastics manufacturing plant, using long-term unrated and non-recourse debt.

*    Served as financial consultant for a Port Authority, structuring and placing two financings for development of new commercial/industrial projects.

*    Refinanced six grocery stores for third largest grocery store chain in U.S., obtaining more favorable interest rates and terms.
